ان الرابطة القانونية الناشئة عن الالتزامات العقدية والتي يكون فيها التنفيذ مؤجل،
تقوم على ان الدائن قد منح مدينه الثقة والائتمان في تنفيذ التزاماته عند حلول ميعاد
استحقاقها، الا ان هذه الثقة والائتمان يتقوضان عندما يتخذ المدين سلوكا يدل على عدم
التنفيذ إذا ما حان اجل تنفيذها، وهنا أجاز القانون فسخ العقد ابتساراً، أي ان يقع الفسخ
قبل ميعاد التنفيذ المتفق عليه، ولا يقتصر حق الدائن على الفسخ وانما جاز له ان يطالب
بالتعويض عما أصابه من ضرر نتيجة لإخلال المدين، وهنا يكون التعويض مصاحب
للفسخ المبتسر للعقد.
