Abstract
The intellectual framework represents research from an independent
variable (strategic managers' skills) and a dependent variable (banking governance),
The purpose of the research was to identify the skills of strategic managers with
a significant impact on banks and to identify their respective roles in achieving
banking governance The existence of the bank's governance system helps to provide
effective and sound trust, safety and transparency for all banking operations, hence
the importance of research And through the search of his problem through a set
of questions centered on whether there is an effect relationship between the
variables of the research, and in light of that a hypothetical chart was built that
emerged from a single main hypothesis. To test the validity of the hypotheses, the
data were collected through the identification tool prepared for this purpose and
a sample of (30) questionnaires was selected and distributed to the directors of
the Rafidain Bank (General Administration) The data was analyzed using a range
of statistical methods and extracted the results using the program SPSS and in the
light of the results the research reached a set of conclusions and recommendations,
the most important of which is the need to monitor performance by the bank's
senior board and protect the rights of shareholders and depositors in addition to
attention to the relationship of these external actors, and one of the most important
recommendations came from the research work to spread the concept and culture
of banking governance to all relevant parties and the public.

المستخلص
يمثل الاطار افكري للبحث من متغير مستقل )مهارات المدراء الاستراتيجيين(
ومتغير تابع )الحوكمة المصرفية(، وكان الغرض من البحث تحديد مهارات المدراء
الاستراتيجيين ذات الاثر الكبير في المصارف وتحديد دور كل منها في تحقيق الحوكمة
المصرفية، و ان وجود نظام الحوكمة في المصرف يساعد على توفير الثقة والسلامة
والشفافية الفاعلة والسليمة لجميع العمليات المصرفية ومن هنا تتضح لنا اهمية البحث،
وعبر البحث عن مشكلته من خلال مجموعة تساؤلات متمحورة حول فيما اذا كانت هناك
علاقة تأثير بين متغيرات البحث، وفي ضوء ذلك تم بناء مخطط افتراضي انبثقت عنه
فرضية رئيسة واحدة. ولاختبار صحة الفرضيات تم جمع البيانات من خلال اداة الاستبانة
تم اعدادها لهذا الغرض واختيرت لذلك عينة تمثلت ) 30 ( استبانة وزعت على مدراء مصرف
الرافدين )الادارة العامة(، وقد تم تحليل البيانات باستخدام مجموعة من الاساليب الاحصائية
وفي ضوء النتائج توصل البحث الى SPSS واستخرجت النتائج باستخدام البرنامج
مجموعة من الاستنتاجات وتوصيات اهمها ضرورة مراقبة الأداء من قبل مجلس الإدارة
العليا للمصرف وحماية حقوق حملة الأسهم والمودعين بالإضافة إلى الاهتمام بعلاقة هؤلاء
بالفاعلين الخارجيين، ومن اهم التوصيات التي جاء بها البحث العمل على نشر مفهوم
وثقافة الحوكمة المصرفية لدى كافة الأطراف ذات العلاقة والجمهور
